1. Parties and acceptance
These Terms of Service ("Terms") form a binding agreement between you ("you," "Customer") and PolarCurve LLC, a Wyoming, United States limited liability company that operates the Waydly product ("PolarCurve LLC," "we," "us"). The Waydly product, including the waydly.com website and the app.waydly.com dashboard (collectively, the "Service"), is provided by PolarCurve LLC.
By creating an account, accessing, or using the Service, you accept and agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Waydly is a subscription smart-link and analytics software-as-a-service. The Service allows you to create short links that, when followed, perform a configured action (for example: redirecting to a URL, opening a prefilled WhatsApp or Telegram message, opening an email draft, launching a calendar booking page, opening a product checkout, or rendering a hosted lead-capture form that may chain into one of those actions). The Service also provides analytics about how those links perform.
Waydly is a digital subscription service. No physical goods are sold or shipped.
3. Fulfillment and delivery
Access to the Service is delivered electronically and immediately after your account is created (for the Free plan) or after your first payment is successfully processed (for paid plans), unless we state otherwise at checkout. The Service remains active for the duration of each paid billing period. There is no physical delivery, no shipping address required, and no waiting period.
If you are a consumer and applicable law gives you a statutory withdrawal or cooling-off right for digital services (for example, the 14-day right of withdrawal under the EU Consumer Rights Directive or its UK equivalent), you expressly request that performance of the Service begin immediately after purchase. You acknowledge that, where permitted by applicable law, you may lose your withdrawal right once the digital service has been fully performed or, for ongoing subscriptions, once the service for the relevant billing period has begun. This does not limit any non-waivable rights you have under applicable law.
4. Account, eligibility, and acceptable use
You must be at least 18 years old and capable of entering into a binding contract under your local law. You agree to provide accurate registration information and keep it current. You are responsible for activity that occurs under your account.
You agree to use the Service in compliance with all applicable laws and these Terms.
5. Restricted and prohibited uses
Because the Service is a link-routing and redirection platform, the following uses are expressly prohibited. We monitor for, and act against, all of these:
- Phishing. Using Waydly links to impersonate a person, brand, financial institution, or service in order to obtain credentials, payment details, or other sensitive information.
- Malware, ransomware, exploits. Routing visitors to pages that distribute malicious code, drive-by downloads, browser exploits, cryptojacking scripts, or similar.
- Deceptive redirects and cloaking. Showing one destination to bots, search engines, or moderation reviewers and a different destination to other visitors; bait-and-switch routing; chaining through Waydly to disguise the true final URL.
- Spam and unsolicited bulk messaging. Using chained WhatsApp, SMS, Telegram, or email actions to send unsolicited bulk messages; harvesting form submissions to feed unsolicited outreach lists; sending CAN-SPAM-violating, ePrivacy-violating, or Anti-Spam-Act-violating communications.
- Affiliate, ad, and SEO abuse. Black-hat SEO redirection schemes, link farming, parasite-SEO redirects, cloaked affiliate compliance circumvention, manipulating advertising attribution against the rules of the originating ad network.
- Unlawful, harmful, or restricted content. Routing to or distributing child sexual abuse material (CSAM), terrorist content, incitement to violence, content sexualizing minors, non-consensual intimate imagery, doxing material, illegal weapons or controlled-substance sales, content that infringes intellectual-property rights of others, or any content unlawful in the jurisdiction in which the link is delivered or accessed.
- Regulated industries without authorization. Using the Service to facilitate unlicensed financial services, securities offerings, gambling, prescription pharmaceuticals, adult services, or other activities for which you do not hold all required licenses.
- Infrastructure abuse. Reverse-engineering, scraping at scale, circumventing rate limits, attempting to break security, conducting unauthorized penetration testing, or using the Service to attack third-party systems.
- Resale. Reselling, sub-licensing, or providing the Service to third parties outside the scope of a current Agency-tier subscription.
- Impersonation. Misrepresenting the source of a link or form, or using a third party's logo, brand, or name in a manner likely to deceive recipients.
We may suspend or terminate any account, link, or hosted form that violates this section, with or without prior notice depending on the severity. For severe or active-harm violations (CSAM, active phishing, malware distribution), we suspend immediately and may report to law enforcement.
6. Sanctions, export, and trade compliance
You represent and warrant that (a) you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk People's Republic, and so-called Luhansk People's Republic regions of Ukraine), (b) you are not a person or entity identified on the U.S. Department of the Treasury Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) List, the U.S. Department of Commerce Denied Persons List or Entity List, or any equivalent restricted-party list of the United Nations, European Union, or United Kingdom, and (c) you will not use the Service in violation of any applicable U.S. or international export-control, sanctions, or trade laws. If any of these representations becomes untrue, your right to use the Service terminates automatically.
7. Not a bank, payment processor, or money transmitter
Waydly is a software service for creating and managing short links and analytics. PolarCurve LLC is not a bank, broker-dealer, exchange, payment processor, payment facilitator, money services business, money transmitter, e-money issuer, custodian of funds, or financial advisor. Waydly does not hold customer funds, does not process payments to or from third parties on your behalf, and does not facilitate the transfer of money. Subscription payments for Waydly itself are processed by Stripe, Inc., who is the regulated payment processor; we receive only tokenized subscription identifiers from Stripe.
If your link routes a visitor to a third-party payment, checkout, or financial service (for example, a Shopify product page or a Stripe checkout you operate), that transaction occurs entirely outside the Service, between you (or your provider) and the visitor. We are not a party to it.
8. Customer content and responsibility
You retain all rights to the links you create, the destinations you configure, the branding and copy you supply, and the form submissions you collect (collectively, "Customer Content"). You grant us a non-exclusive, worldwide license to host, route, display, and process Customer Content solely as needed to provide the Service to you.
You are responsible for the legality of the destinations you point Waydly links to and for handling any personal data your forms collect in line with applicable privacy law (including GDPR, UK GDPR, CCPA/CPRA, LGPD, and other applicable regimes). Waydly is a tool; it does not moderate every link in advance and is not the publisher of your destinations.
9. Fees, billing, taxes, and renewal
Current plans and prices are listed at waydly.com/#pricing: Free (US$0), Starter (US$29/month), Pro (US$79/month), and Agency (US$199/month). Plans renew automatically for successive monthly periods until canceled in accordance with our Refund & Cancellation Policy.
All paid plans are billed in advance, in U.S. dollars, through Stripe, Inc. Prices are exclusive of any taxes, levies, or duties applicable in your jurisdiction; you are responsible for those. Failed payments may result in suspension of the paid features after a grace period.
We may change prices on no less than 30 days' email notice to existing paid customers. Changes apply from your next renewal. Free-tier limits and features may change with shorter notice.
10. Cancellation and refunds
Cancellation and refund terms are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.
11. Intellectual property
The Service, including the software, design, brand, and documentation, is owned by PolarCurve LLC and protected by United States and international intellectual-property laws. These Terms do not transfer any of our intellectual-property rights to you; you receive only a limited, non-exclusive, non-transferable, revocable right to use the Service for your own business purposes during the term of your subscription.
12. Service availability and disclaimer
We aim for a 99.9% monthly uptime on the click-redirect and form-render paths, but the Service is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure. You are responsible for exporting your data and maintaining your own backups of material information (the dashboard provides a CSV export for form submissions).
13. Limitation of liability
To the maximum extent permitted by applicable law, PolarCurve LLC and its officers, employees, affiliates, and sub-processors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, even if advised of the possibility of such damages. Our total aggregate liability under or in connection with these Terms and the Service will not exceed the greater of (a) the amount you paid PolarCurve LLC for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) US$100. Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).
14. Indemnification
You agree to defend, indemnify, and hold harmless PolarCurve LLC and its officers, employees, affiliates, and sub-processors from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service in violation of these Terms, (b) the content of any Waydly link you create or destination you direct visitors to, or (c) your violation of any law or third-party right.
15. Termination
You may terminate at any time by canceling your subscription per the Refund & Cancellation Policy and requesting account deletion at hello@waydly.com. We may suspend or terminate your access (a) for breach of these Terms, (b) for non-payment after notice, (c) if continuing to provide the Service to you would expose us to legal, regulatory, or sanctions risk, or (d) on at least 30 days' notice for any other reason, with a pro-rata refund of any unused prepaid fees in case (d). Sections that by their nature should survive termination (e.g., IP, Liability, Governing Law) will survive.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email to active account holders at least 14 days before they take effect. Your continued use of the Service after the change date constitutes acceptance of the revised Terms.
17. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Subject to the consumer carve-out below, the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Sheridan County, Wyoming, and the parties consent to personal jurisdiction there. Nothing in this section prevents either party from seeking interim injunctive relief in any court of competent jurisdiction.
Consumer carve-out. If you are a consumer, this choice of law and venue applies only to the extent permitted by mandatory consumer-protection law in your country or state of residence. Where such mandatory law requires that you have the right to bring or defend claims in your local courts or to benefit from local consumer-law protections, those rights are preserved and apply notwithstanding this section.
18. Miscellaneous
These Terms, together with the Privacy Policy, Cookie Policy, and Refund & Cancellation Policy, constitute the entire agreement between you and PolarCurve LLC concerning the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right does not waive it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of substantially all assets.
